Data Migration Services
St Matthew eAccounting offer comprehensive data migration services. We can import your previous years data or your current year to date data into your accounts website. Our ternichnal team is able to import data from software such as Sage or Quickbooks. Even data held in spreadsheets can be imported. After we have assessed the source data we will make a fixed price quote of your data migration. Please note that this does not include scanning of paperwork.

Terms of Service
1 Introduction
1.1 Except where otherwise agreed the following terms and conditions apply to all work carried out by St Matthew eAccounting for all its clients.
1.2 "we", "us" and "our" will be used for St Matthew eAccounting UK Ltd in all cases throughout.
1.3 "you", "your", "your company" and "directors" will be used for the client.
1.4 The expression "our website" refers to our main website www.stmatthew.biz
1.5 The expression "your online website" refers where appropriate to the online website account we have dedicated for your use, whilst you are our client, and that is only accessible through our website using your unique username and password.
1.6 A copy of the current terms and conditions is always available on our website. We reserve the right to alter these terms and conditions at any time giving you 30 days notice.
1.7 Appendix A and Notes form part of these terms and conditions and are there for extra details where it is not covered herewith.

2 Our Services 
2.1 We will undertake all reasonable aspects of your company's accountancy and taxation needs. The full list of services are on the website.
2.2 Any additional services may incur additional charges which will be agreed in writing prior to commencement.
2.3 We are not authorised and do not give investment advice and we shall have no liability whatsoever to you in connection with investment advisory matters.
3 Fees /Payment Terms/Refund Policy
3.1 Our fee structure is published on our web site at www.stmatthew.biz.  Any changes to the published fees will be notified to you at least 30 days in advance.
3.2 You will not become a client until you have paid the set up fee and the first month's fees. In the event this is paid by BACS or cheque, payment will not be deemed to have been made until the funds have cleared to our account.
3.3 After you have become a client, payment of fees is due on a monthly basis in advance.  We use Worldpay FuturePay as our credit card payment processor.  We suggest that all accounts be set up as recurring payment orders in WorldPay's FuturePay system.  Upon setting up your account with WorldPay, WorldPay will charge your credit card account, store your billing information for future recurring billing and then send us your payment.  In the event of account termination, whether by you or by us, you will be responsible for contacting WorldPay and terminating your WorldPay/FuturePay agreement.  In the event you wish to pay by other means like bank transfer or cheque, we will require advance payment for all services, the terms of which will be negotiated at the time you set-up your account. 
3.4 You will be invoiced separately for payments due on services that our outside the scope of the monthly standard services agreed upon at the time you activate your account.   All invoices are to be paid within 10 days of the invoice date.                                               
3.5 We will post the invoice for your fees on your accounts website and by accepting these terms and conditions you agree that posting the invoice in this way is effective service of the same.
3.6 There will be no reduction in our fixed fees where you do not avail yourself of all the services included in our service packages unless otherwise agreed in writing.
3.7 You may not obtain a refund for a month in which we have performed service if we have commenced the service, unless previously agreed to by us in writing.  All requests for refunds must be in writing and sent via email to accounts@stmatthew.biz.  If a refund is due, you will be notified by e-mail; it can take up to 30 days after cancellation of your contract to receive your refund.
4 Transfer fees 
4.1 We do not charge a transfer fee but if you wish to transfer your year to date information across to us then we will levy fees as per our tariffs on our website.
5 Arrears in fees 
5.1 In the event you become more than 30 days in arrears, in respect of any fees due by you to us, and where appropriate we reserve the right to suspend our service to you which includes access to your online account.
5.2 We will only reactivate our service on payment of all the outstanding fees. A reconnection fee of £99 plus VAT may be charged.
5.3 We reserve the right to charge you interest on all outstanding fees at the rate of 8% above the base rate of the Bank of England
6 Termination of St Matthew eAccounting Services 
6.1 Either party can terminate the supply of this service at any time. To terminate your account simply contact WorldPay and cancel your WorldPay/FuturePay agreement.  The termination becomes effective at the beginning of the next billing cycle following cancellation of your WorldPay account.
6.2 In the event you choose to terminate the supply of this service there will be no charge applied for closing down your business or transferring to another accountant.
6.3 We reserve to right to hold all records and information until full payment of any arrears is made.
6.4 In the event of termination we will undertake subject to the above terms to provide all records (including up to date accounts) up to the specified date of termination.  We shall only prepare and provide statutory accounts in respect of a particular financial year if you were a client as at the end of such financial year.
6.5 If you wish to receive a backup or an extract of all your data that was stored with us we can provide this. This service is chargeable and the fee will be determined by the efforts involved.                                                          
7 Your Account Manager 
7.1 The name and direct telephone number for your Account Manager will be advised to you when you sign up to St Matthew eAccounting.
7.2 We will use our reasonable endeavours to ensure you remain with the same Account Manager. However occasionally through matters outside our control or for business reasons this might not always be possible. We will notify you promptly of any change in your Account Manager.
8 Your obligations 
8.1 As Director of your company responsibility rests with you to ensure your company complies with all legal formalities. We will assist you in complying with those formalities wherever possible or requested.
8.2 You undertake to ensure that all information or documentation that you provide to us or that is provided to us on your behalf is complete, true and accurate, and relevant to you, your company and/or your respective affairs.
8.3 You agree to indemnify us in respect of any losses or damages suffered by us as a result of any misrepresentations or any dishonesty and/or fraudulent behaviour on your part or that of others providing information to us on your behalf.
8.4 You will send us all relevant transaction information on a monthly basis by email, fax or post whichever is your preferred method. The latest date for receipt by us of this information is the 15th of the following month. You should retain your supporting documentation (bank statements, receipts, invoices, etc) in a secure place and not send it to St Matthew eAccounting unless either we request it or we have agreed to store it for you for an appropriate fee. The Companies Act requires registered companies to keep accounting records. For most companies, and in most situations, this will be enough to satisfy the tax authorities requirements as long as records are kept for up to six years after the end of the accounting period to which they relate. Where you delay in sending us your papers St Matthew eAccounting cannot guarantee that statutory reporting deadlines will be met, with the consequent risk of penalties being imposed by tax authorities and Companies House. In addition, the information on your website may not be up to date.
8.5 You must ensure that you keep us informed of any change of address, telephone or email. Failure to do so may result in communications going astray for which we cannot be held responsible.
8.6 You will regularly check for communications from us so that you are fully aware of any changes in the service that are to be implemented.                                                                            
8.7 Inclusive Transactions are not carried over month to month.  It is your responsibility to ensure that you use the transactions you have subscribed for within each month.  We encourage you to send information to us on a regular basis.
9 Expenses and disbursements 
9.1 We may from time to time incur expenses or disbursements on your behalf e.g. fees for lodging your company's Annual Return, postage and courier costs. By accepting these terms and conditions you agree that you will reimburse us for all reasonable and justifiable expenses we incur on your behalf. 
10 Our Website 
10.1 The content and design of our website pages are subject to copyright owned by us or used under a license from third party copyright owners. We permit you to make copies of this site as necessary incidental acts to your viewing of it and you are welcome to print pages for your personal use but no part of our website may be reproduced or transmitted for any other purpose.
10.2 Without our prior express written permission you may not link to this site, nor frame it,
10.3 The information contained in our website is intended to be provided for general guidance (UK residents) only and should not be regarded as a substitute for taking specific tax and/or financial advice in relation to your particular circumstances and we shall have no liability to you in respect of any action you take on the basis of such general guidance.

12.1 You consent to us transferring your personally identifiable information outside of the European Union where it is necessary. Acceptance of these terms and conditions constitutes consent by you to such data transfer. 
13 Storage and disposal of documents 
13.1 All the accounts/other documents sent to use are automatically stored as PDF documents.


14 Security 

14.1 Where we provide you with a website, you are responsible for all the content that is posted.
14.2 It is your responsibility to keep your username and password confidential and not divulge it to any third parties.
14.3 We will not be responsible for any viruses passing through our website or through email although we will use the latest technology to prevent this happening where possible.  It is the responsibility of the recipient to carry out a virus check on any attachments received.
14.4 Our client's accounts sites are located on secure servers which conform to the highest industry standards for authentication, encryption and data integrity.  All client accounts have a unique user name and password protection.
14.5 We undertake that your accounts data, including information already in the public domain, such as your company's name and contact details, will be held in confidence and will never be imparted to third parties for marketing or other purposes under any circumstances whatsoever.
14.6 We use an internal system whereby clients are identified by an internal customer number.  Staff inputting your data to the system do not have access to your complete accounts data.  This access is strictly limited to our qualified staff for the purposes of signing off your company's accounts at the end of your reporting period.

15 Customer Service
15.1 We aim to provide a high quality of services at all times.  We welcome any comments about the service.                                                                                                                          
15.2 Any complaint will be dealt with promptly and we undertake to provide a satisfactory result where possible.
16 Warranties and Exclusions of liability 
16.1 Save as provided by this agreement, all warranties and conditions whether express or implied by statute, common law, or otherwise including implied warranties arising from the course of dealing or course of performance are hereby excluded to the fullest extent permitted by law.
16.2 Any liability that we may owe (whether in contract, tort including negligence or otherwise) to you or any third party shall be limited to the greater of the total charges paid by you for the services in aggregate and £5,000.
16.3 We shall not be liable for any loss of profits, loss of business, loss of sales, loss of turnover or loss of use of software or data or for any indirect, consequential or special losses whatsoever and howsoever arising from the services provided by us to you or your inability to use or access the services.
16.4 We are not responsible for any delay or failure in carrying out our services under this agreement for reasons beyond our reasonable control including but not limited to the acts or omissions of a third party, your failure to perform your obligations, government action or any other major event.
16.5 Nothing in this agreement shall serve to limit or exclude our liability in respect of fraud or in respect of death or personal injury caused by our negligence.
16.6 The entirety of this clause shall survive the termination of this agreement for whatever reason.
17 Applicable Law
17.1 The contract and its terms and conditions of service are governed by, and construed in accordance with English Law. 
18 Severability
18.1	If any provision of these Terms and Conditions is unlawful, void or unenforceable, then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.
APPENDIX A
Service provision by St Matthew eAccounting 
To carry out the necessary work to assist you, in fulfilling your financial responsibilities as a Director of a limited company. (see schedule 2 for brief details of these responsibilities) To undertake various professional services as follows: 
1. Company Set Up 
1.1 If required, to provide a new company for your use and if required to arrange a name change, for the appropriate fee.
1.2 To complete all necessary statutory forms to transfer the company to you and submit these to Companies House as well as ensuring the company is registered with all relevant government departments such as:
 - VAT Registration with HM Customs & Excise 
 - PAYE & NIC registration with the Inland Revenue. 
 - Corporation Tax registration with the Inland Revenue. 
These services are provided FREE when you sign up to St Matthew eAccounting but are subject to the termination clause.
2. Bookkeeping
To carry out all bookkeeping tasks for the company including the completion of VAT returns. This will be done using the transaction information supplied by you on the monthly forms located within your personal website. You will retain your documentation but will make it available to St Matthew eAccounting on request. 
3. Financial Accounts 
To prepare from the books and records of the company a set of statutory financial statements for each accounting period. 
4. Payroll Work 
4.1 To process monthly payroll for those Directors/employees of your company included within the fixed fee arrangements
4.2 To calculate PAYE & NIC payments due.
4.3 To complete where appropriate, form P46, a PAYE notice of new employee.
4.4 To prepare form P45 for employees leaving the company.
4.5 To complete Annual Return form P35, together with the related forms P14.
4.6 To amend tax deduction calculations as per received notices of coding.
4.7 Calculation of annual Class 1A NIC liability on benefits in kind. 
5. Statutory Work 
5.1 To complete statutory form 363, the Company's Annual Return
5.2 To complete any required forms in respect of changes in company details.
5.3 To complete annual statutory financial statements for Companies House.
5.4 To act as Company Secretary on payment of the appropriate fee if required 
6. Company Taxation
As your company's agent: - 
6.1 To prepare Corporation Tax computations based on the annual financial statements.
6.2 To submit financial statements and tax computations to the Inland Revenue.
6.3 To complete Corporation Tax return CT600 and submit it to the Inland Revenue.
6.4 To check Corporation Tax Assessments raised by the Inland Revenue and advice you of the amounts of tax your company should pay.
6.5 If appropriate, to arrange for claims for losses to be set off against profits of earlier years or carried forward to future years.
6.6 To prepare annual forms P11D and P11D(b) in respect of Directors Benefits and Expenses 
7. Personal Tax
7.1 To complete and submit the personal income tax return for those Directors of your company included in the fixed fee arrangements. 
8 Storage of Documentation
8.1 Documentation not generated by St Matthew eAccounting may be stored at St Matthew eAccounting's premises on payment of the appropriate fee 
NOTES
Your responsibilities as a Director
The full legal responsibilities of company Directors are too detailed to allow us to list them all here. We would strongly recommend therefore that you obtain a copy of the Directors and Secretaries Guide as published by Companies House. This guide is available from the following URL address: -

The following is a short summary of certain key responsibilities, which you have as a Company Director. 
1. Bookkeeping
1.1 To maintain proper accounting records in compliance with Inland Revenue Regulations and Company Law
1.2 To prepare and submit VAT returns on a quarterly basis to HM Customs & Excise 
2. Financial Accounts
2.1 To prepare annual statutory financial statements in a format that are in accordance with Approved Accounting Standards and which complies with the Companies Act 1985. 
3. Company Tax
3.1 To submit various company tax returns to the Inland Revenue in accordance with prescribed time limits
3.2 To arrange for payment of relevant company tax liabilities 
4. Personal Tax 
4.1 To submit an annual self-assessment personal income tax return to the Inland Revenue 
4.2 To arrange for settlement of relevant personal tax liabilities as they fall due 
5. Statutory Records 
5.1 To submit Annual Return form 363 to Companies House 
5.2 To update Companies House with any changes in Statutory Information 
5.3 To maintain minutes of statutory meetings held 
Failure to comply with these responsibilities can lead to fines, penalties, interest and in extreme cases disqualification and/or criminal prosecution.
